Overview of the activities of the previous year:
The President, Ha-Loan Phan, invited the members to refer to the Annual Report 2022 for the activities of the previous year.
The Executive Director,Louis Germain, introduced himself and announced the hiring of Sophie Valade, Communication & Philanthropic Development Officer. He presented the main upcoming activities.

Melanie Roy, from MNP, mandated to perform a review engagement of Wikimedia Canada, presented the Financial Statements 2022.
A member asked if the financial statements will be uploaded online. The President confirmed that the financial statements will be uploaded online once officially approved by the Board of Directors.
A member asked about the plan to spend the surplus. The President answered that the pandemic affected the activities of Wikimedia Canada and that the focus was on the hiring of the Executive Director. Wikimedia Canada is now exploring how to reorganize its microgrants program.
A member asked about the professional fees. The Board of Directors clarified that those fees were for the hiring of a recruiting firm.
A member proposed to remove the word “Immediate”. Another member proposed to change the sentence “who is completing” to “who completed”. The changes were made.
A member proposed to add a duration for the mandate. After discussion by the members, “for one year renewable” was added to the amendment.
